A fresh start


I am delighted to present you today the first edition of the monthly Corgo Newsletter.
Its task is clear: to give directors, entrepreneurs and managers adequate and clear information.

Corgozine will focus on important developments in corporate life in Belgium and abroad, and also on initiatives of Corgo and the RNCI itself.

We will cover topics such as board evaluation, director search, remuneration and nomination policies, executive coaching and corporate governance matters.
We have opted for an exciting, reader-friendly and interactive formula, and hope that you will subscribe to this free newsletter to continue to receive our news in coming months.

The RNCI welcomes female directors

The Remuneration & Nomination Committee Institute has set up a forum in collaboration with directors, entrepreneurs and HR managers, to exchange ideas and spread best practices. The RNCI will dedicate its next session on Thursday 5 May to the social and political debate around the initiatives to increase the presence of women in the boardroom.
Must this be regulated via legal quotas or are there other options? Do you think a legal obligation is the best way of getting more competent women onto boards of directors, or are there better alternatives? What is your experience of searching for (and finding?) female directors? Give us your thoughts at corgo.redactie@corgo.be.

Corgo goes Social Profit

The executive partners of Corgo collaborated on the content of the first Social Profit Day on 24 February, a Dutch-language event attended by almost 250 directors and managers.

The central topics were professionalisation of the board of directors, the management and the organisation, finding the right directors, attracting the right talent onto the board, working with efficient procedures in management bodies, concrete implementation of recommendations, the development of leadership via suitable coaching. These are important challenges for directors in social profit organisations.

Diversity = more women on boards!

In its recent new guidance that accompanies its UK corporate governance code the Financial Reporting Council has stressed the importance of diversification at company board level.

The guidance was also based on the report by Lord Davies of Abersoch, CBE “Women on boards February 2011”.
The report does not favour quota but contains valuable recommendations for companies.

Women searching for board seats?

To ensure proper oversight and monitoring and to contribute to the growth and success of the business a board of directors must be made up of a heterogeneous and well balanced team of capable men and women.

New recommendations for listed companies

The Belgian Corporate Governance Committee recently published 3 important documents for listed companies:

1. New directives on internal control and risk management in the context of the law of 6 April 2010 and the Belgian Corporate Governance Code 2009 in Dutch and in French

2. Recommendations concerning representativity of women on the boards of listed companies, in Dutch and in French 
(This recommendation may be superseded by a legal ruling.)

3. Application directives for legally mandatory remuneration reporting of non-executive directors and executive managers of companies (!) in Dutch 
and in French.

For Your Agenda

On Friday 6 May 2011, the Fifth Forum of the Family Business will be held. On behalf of Acerta and Bank Van Breda, Professor Johan Lambrecht and Wouter Broekaert of the Study Centre for Entrepreneurship (SVO) at the HU Brussels have been studying the extent to which family companies apply the recommendations of good practice, and whether they actually lead to success. More info on this event “20 years of research into family businesses, what makes them successful?” can be found here.

On Saturday mornings 14 and 21 May 2011, Acerta Social Profit in conjunction with Corgo is arranging a practical and pragmatic training session for directors of social profit institutions. “Active Governance”.

On Thursday 20 October 2011, RNCI is organising “the RNCI day” with the focus the assessment of boards of directors.
